1. Acceptance of Terms

Welcome to Pitchbridge. By accessing or using the Pitchbridge platform ("Platform", "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Pitchbridge Inc., a A Delaware corporation. The Platform is operated and maintained by Pitchbridge.

2. Service Description

Pitchbridge is an investment platform that connects startup founders with investors. The Platform provides the following services:

  • AI-powered pitch deck analysis and feedback for startup founders
  • Deal flow management and investment opportunity discovery for investors
  • Secure document sharing and e-signature capabilities
  • Portfolio tracking and management tools
  • Communication and meeting scheduling between founders and investors
  • Payment processing through integrated third-party providers

Pitchbridge acts as a platform facilitator and does not provide investment advice, financial planning services, or act as a registered broker-dealer or investment advisor.

3. Investment Risk Warning

IMPORTANT: INVESTING IN STARTUPS AND EARLY-STAGE COMPANIES INVOLVES A HIGH DEGREE OF RISK

By using this Platform, you acknowledge and understand that:

  • Total Loss of Capital: Investments in startups can result in the total loss of your invested capital. Most startups fail, and there is no guarantee of returns.
  • Illiquidity: Investments in private companies are typically illiquid. You may not be able to sell your investment or access your capital for an extended period, potentially years or indefinitely.
  • No Guarantee of Success: Past performance of other investments or companies is not indicative of future results. Each investment carries unique risks.
  • Limited Information: Startups may have limited operating history and financial information available for review.
  • Dilution Risk: Your ownership stake may be diluted through future funding rounds.
  • Regulatory Risk: Changes in laws or regulations may adversely affect your investment.

Only invest capital that you can afford to lose entirely. Pitchbridge strongly recommends consulting with qualified financial, tax, and legal advisors before making any investment decisions.

4. User Accounts and Eligibility

To use the Platform, you must create an account and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information remains accurate and up to date

Eligibility Requirements:

  • You must be at least 18 years old
  • You must have the legal capacity to enter into binding contracts
  • You must not be prohibited from using the Platform under applicable laws
  • If representing an organization, you must have authority to bind that entity

5. Payment Processing and Binance Pay

Pitchbridge integrates with third-party payment processors, including Binance Pay, to facilitate transactions on the Platform.

Payment Terms:

  • Third-Party Services: Payments are processed by third-party providers. You agree to comply with the terms and conditions of these providers.
  • Cryptocurrency Payments: When using Binance Pay or similar cryptocurrency payment services, you acknowledge the inherent volatility and risks of cryptocurrency transactions.
  • Transaction Fees: Payment processing fees may apply and will be clearly disclosed before completing any transaction.
  • Exchange Rates: Cryptocurrency exchange rates are determined by the payment provider and may fluctuate. Pitchbridge is not responsible for rate changes during processing.
  • Refunds: All payments are generally non-refundable unless required by law or explicitly stated otherwise. Investment transactions cannot be reversed once executed.
  • Payment Security: You are responsible for ensuring the security of your payment credentials and wallet information.

Important: Cryptocurrency transactions are irreversible. Always verify transaction details before confirming payment.

6. Intellectual Property Rights

The Platform, including all content, features, and functionality, is owned by Pitchbridge Inc.and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content:

When you upload pitch decks, documents, or other content to the Platform, you retain ownership of your intellectual property rights. However, you grant Pitchbridge a limited, worldwide, non-exclusive, royalty-free license to:

  • Host, store, and display your content on the Platform
  • Process your content through AI analysis tools
  • Share your content with investors you choose to connect with
  • Use anonymized, aggregated data derived from your content to improve our services

You represent and warrant that you have all necessary rights to grant these licenses and that your content does not infringe any third-party intellectual property rights.

7. Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe the intellectual property rights of others
  • Upload false, misleading, or fraudulent information
  • Engage in market manipulation or insider trading
  • Harass, threaten, or abuse other users
  • Attempt to gain unauthorized access to the Platform or other user accounts
  • Interfere with or disrupt the Platform's operation
  • Use automated systems (bots, scrapers) without authorization
  • Reverse engineer or attempt to extract source code from the Platform
  • Impersonate any person or entity
  • Use the Platform to facilitate illegal activities or money laundering

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied.

Pitchbridge disclaims all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any guarantee that the Platform will be uninterrupted, secure, or error-free
  • Any guarantee regarding the accuracy, reliability, or completeness of content
  • Any guarantee of investment returns or outcomes

Pitchbridge does not endorse, verify, or guarantee any information provided by users. You are solely responsible for evaluating the accuracy and reliability of all information and for conducting your own due diligence.

9. Limitation of Liability

To the maximum extent permitted by law, Pitchbridge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or investment returns
  • Loss of data or content
  • Business interruption
  • Loss of goodwill or reputation
  • Any other intangible losses

In no event shall Pitchbridge's total liability to you exceed the greater of (a) the amount you paid to Pitchbridge in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you.

10. Governing Law and Dispute Resolution

Dual Jurisdiction:

These Terms are governed by the laws of the State of Delaware, United States and the Republic of Kenya, without regard to conflict of law principles.

Dispute Resolution:

Any dispute arising from these Terms or your use of the Platform shall be resolved as follows:

  1. Informal Negotiation: You agree to contact us first at legal@pitchbridge.comto attempt to resolve the dispute informally for at least 30 days.
  2. Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA) or equivalent arbitration body in Kenya, depending on your location.
  3. Class Action Waiver: You agree to resolve disputes on an individual basis only, and waive any right to participate in class actions or class-wide arbitration.

Nothing in this section prevents either party from seeking injunctive relief in court to protect intellectual property rights or prevent unauthorized access to the Platform.

11. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • At our discretion to protect the Platform or other users

Upon termination, your right to access and use the Platform immediately ceases. You may terminate your account at any time by contacting support@pitchbridge.com.

Termination does not affect any obligations or liabilities incurred prior to termination, nor does it affect any licenses granted by you to Pitchbridge for content you uploaded.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you through the Platform or via email
  • Require you to accept the updated Terms before continuing to use the Platform

Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and close your account.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pitchbridge regarding your use of the Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure: Pitchbridge is not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or fuel crises.
